These Terms and Conditions ("Terms") govern the use of this website ("Site") and the purchase of any products ("Products") or services ("Services") from GrowMind ("we", "us", or "our"), a company incorporated in Hong Kong with its registered office at [Hong Kong registered office — TBD].
By accessing the Site, registering an account, or purchasing Products/Services, you agree to be bound by these Terms. If you do not agree to these Terms, please cease using the Site immediately.
1. Structure and Binding Agreement
- This agreement is formed digitally and carries full legal weight under the Electronic Transactions Ordinance (Cap. 553) of Hong Kong.
- Contractual consent is strictly established when you click "I Agree", "Place Order", or complete a transaction on the Site.
- You must be at least 18 years of age and possess the legal capacity to enter into binding contracts under Hong Kong law.
2. Product and Service Descriptions
- We endeavor to ensure all product images, descriptions, specifications, and prices are accurate and up to date.
- In accordance with the Trade Descriptions Ordinance (Cap. 362), we strictly prohibit false trade descriptions, misleading omissions, aggressive commercial practices, or bait-and-switch tactics.
- Minor color or display variations may occur due to your monitor settings. These do not constitute a breach of product description.
3. Pricing and Payment
- All prices are displayed and processed in Hong Kong Dollars (HKD) unless explicitly stated otherwise.
- Prices are locked only upon order confirmation. We do not engage in bait advertising for unavailable stock.
- Payments must be made via our authorized payment gateways credit card / authorized payment gateways. Orders are processed only after successful payment clearance.
4. Delivery and Passing of Risk
- We deliver to physical addresses within the Hong Kong Special Administrative Region (HKSAR), excluding locations we cannot serve as stated at checkout.
- Pursuant to the Sale of Goods Ordinance (Cap. 26), the risk of loss, damage, and title to the Products passes to you upon physical delivery to the specified address.
- Any stated delivery timelines are estimates and subject to courier availability. We are not liable for delays caused by third-party logistics or force majeure.
5. Consumer Rights, Returns, and Refunds
- Products supplied are warranted to be of satisfactory quality, fit for purpose, and corresponding to their description under Cap. 26 SGO.
- Customers may request a return or exchange within 14 days of receiving the Product.
- To be eligible, items must be unused, unaltered, in their original packaging, and accompanied by the original receipt or invoice.
- Custom-made, personalized, or perishable goods are strictly non-refundable unless defective upon arrival.
6. Personal Data and Privacy
- By using the Site, you acknowledge and agree that your personal data will be collected, processed, and utilized in strict compliance with our Privacy Policy (detailed in Part 2 below).
- All data handling practices comply with the Personal Data (Privacy) Ordinance (Cap. 486).
7. Limitation of Liability
- This section is governed strictly by the Control of Exemption Clauses Ordinance (Cap. 552).
- Nothing in these Terms limits or excludes our liability for death or personal injury resulting from our negligence, fraud, or any liability that cannot be excluded under Hong Kong law.
- To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential commercial damages, loss of profits, or data loss arising from your use of the Site or Products.
8. Governing Law and Jurisdiction
- These Terms, their subject matter, and formation are exclusively governed by and construed in accordance with the laws of Hong Kong.
- Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

Company registration number and Hong Kong registered office address will be inserted when the operating entity details are confirmed.
